AGreatAffair.com website (“AGreatAffair.com”) is owned and operated by FT Capital Group LLC (“FTCG”). These Terms and Conditions of Use (the "Terms and Conditions") govern your use of AGreatAffair.com. Please read them carefully. Your access and use of this website constitutes your acceptance and agreement to follow and be bound by these Terms and Conditions. References to “we” or “us” or “our” means collectively AGreatAffair.com and FTCG. References to “you” shall refer to each Member, any Guest, or any other person or entity that visits AGreatAffair.com or any webpages of its Members or that is requested to accept these terms and conditions before proceeding with an action.

At any time and without prior notice to you, we reserve the right to modify these Terms and Conditions. We recommend that you review these Terms and Conditions each time you access or use this website. FTCG reserves the right to modify or discontinue AGreatAffair.com and/or certain services provided on the website at any time without notice to you. This website has recently been launched and is currently in its beta testing phase - that means it may not be free of errors. During the beta launch period, a limited number of members will be permitted to create accounts, registries and webpages so that we can evaluate any ssues with the website's operation. Users of the website during the beta period acknowledge that the website may not operate perfectly.

AGREATAFFAIR.COM IS A CASH REGISTRY

AGreatAffair.com allows users to create a webpage and cash gift registry (“Members”). A Member may invite individuals to visit their webpage and registry (“Guest”). Guests may gift cash towards any of the items on a Member’s registry, which we collect on behalf of the Member, then forward per the Member’s instruction (less our Registry Fee described below). A Member is then free to buy the items listed on their registry. We do not send any gift items to a Member, just the cash balance in the Member’s registry account.

As the creator of the registry, a Member should understand that their Guests may have an expectation that the Member will use the cash Guests have gifted towards purchasing the item(s) the Member has designated on their registry.

REGISTRY FEE

There is no charge to create a registry on AGreatAffair.com and the personal webpage is free when a Member creates a registry on AGreatAffair.com.

FTCG is paid a service fee only when Guests gift a Member money towards the items on the Member’s registry. The Service Fee is based on the amount of money actually gifted by Guests. A Member can choose from two options for payment of the Service Fee:

Bill to Guest – If a Member chooses this option, we charge Guests a 7% fee in addition to their cash gift to the Member (this fee generally is less than what they would have paid for tax, gift wrapping and shipping on a traditional registry). For example, if a Guest wanted to gift $100, the Guest would be charged a fee of $7.00, for a total of $107. The Member would get $100 deposited into their registry account after our fee of $7.

Bill to Me – If a Member chooses this option, then a 7% fee is deducted from any gift a Guest purchases. For example, if a Guest wanted to gift a Member $100, the Guest would pay $100 and we would deduct a fee of $7 from that $100 gift. The Member would get $93 deposited in their registry account after our fee of $7.

GETTING YOUR MONEY

We collect the funds in your registry account and disburse it to you on the Withdrawal Dates. You may designate up to 2 Withdrawal Dates, and on each of those dates we send you a check for 90% of the money that has cleared and is in your registry account. We close out your registry 30 days after your event date and send you all the money that has cleared in your account as of that day. Each payment will be by check, by regular, first-class mail to your address. We mail checks within three business days following the withdrawal date(s) you designate. We do not guarantee when check(s) will be received. If a Member lives in the United States and has not received a check within 10 business days of any Withdrawal Date, the Member should contact us so we can cancel the check and issue a replacement.

For individual cash gifts in excess of $500, we may, but are not required to, contact the Guest and confirm that he or she intends the gift and that there is no credit card fraud. Please note that these funds may be subject to escrow until we receive the appropriate confirmation from your Guest.

If a Guest disputes or fails to resolve a credit card matters in connection with his or her gift to a Member for which we have already remitted payment to the Member, then we reserve the right to collect those funds from the Member’s registry account and/or the Member, personally, including keeping in escrow a dollar amount equal to the disputed amount until authorization and resolution of the dispute has been resolved.

CANCELLED OR POSTPONED EVENTS

A Member must immediately notify us of a postponement or cancellation of any event for which the Member is registering. Each Member is solely responsible for insuring the accuracy of any information contained on their AGreatAffair.com webpage.

Upon being informed that a Member’s event has been cancelled, FTCG will send the Member a check for the amount in the Member’s registry account. It is the sole responsibility of the Member to handle any requests for refunds and/or reimbursement from their Guests. By accepting these Terms and Conditions, the Member hereby agrees to indemnify FTCG, AGreatAffair.com and our affiliates from any claims by Member’s Guests for the return or failure to return such funds.

AGREATAFFAIR.COM CONTENT

 By accepting these Terms and Conditions, you agree that all AGreatAffair.com Content (defined below) is the sole property of AGreatAffair.com and FTCG and we and our licensors shall retain all right, title and interest in and to the AGreatAffair.com Content, including the maximum rights and protections under trademark, service mark, trade dress, copyright and/or other intellectual property rights or laws. All AGreatAffair.com Content herein is proprietary and is only intended for the personal use of the Members and their Guests. You may not reproduce, modify, publish, retransmit, participate in the transfer or sale of, copy (other than temporary copies that may appear in or be created by your browser), create derivative works of, distribute, perform, display or use in any commercial manner any of the AGreatAffair.com Content in any way, except that you may create a registry in accordance with these Terms and Conditions and n o right, title or interest in any AGreatAffair.com Content is transferred to you in any way as a result of becoming a Member and creating a registry. “ AGreatAffair.com Content ” is defined as any information, data, text, messages, articles, services provided by AGreatAffair.com, software, programming, computer/electronic code, design, methods or processes, photos, video, audio and video clips, trademarks, logos, graphics, pictures, illustrations, music, designs, sounds and any other material or services that are found on AGreatAffair.com, including AGreatAffair.com content but excluding Member Content and Guest Content.

REGISTRATION

To create an account at AGreatAffair.com, a Member must complete all required fields on the registration form. By registering, a Member attests that all information provided by in the registration process is true and accurate. AGreatAffair.com does not sell any personal information to third parties. MEMBER AND GUEST CONDUCT
You acknowledge and agree that you shall use AGreatAffair.com for lawful purposes only . The AGreatAffair.com website and services available to our Members and their Guests are subject to the following guidelines and restrictions:

You may not use, or allow others to use, your AGreatAffair.com membership, either directly or indirectly, to:

• Post or transmit any content including, but not limited to, any messages, photos, text, or video that (i) could violate, or could facilitate the violation of, any law, regulation or our rules or policies; and/or (ii) is or can be construed as content that is criminal in nature, abusive, vulgar, obscene, profane, hateful, fraudulent, unlawful, threatening, harassing, defamatory, embarrassing, libelous, slanderous, pornographic, indecent, lewd, sexually-explicit, harmful, hate speech, invasive of privacy or publicity rights of others, abusive, inflammatory, cruel to animals or otherwise objectionable;
  
• Harass, threaten or embarrass any person or entity;
  
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation or association with any person or entity, including the forging of headers or other manipulation of identifiers in order to disguise the origin of any content or transmission source;
  
• Post or transmit any matter that you do not have a right to transmit under law (such as copyright-protected, trademark-protected, or trade-secret protected material or other material that infringes on another person’s or entity’s intellectual property rights) or that violates or hinders any contractual or fiduciary relationship (such as nondisclosure or confidentiality agreements);
  
• Harm any person or entity or any minors in any way;
  
• Post or transmit any unsolicited advertisements, promotional materials, “junk mail”, spam e-mail or any other form of unsolicited advertisement or communication.
  
• Engage in commercial activity;
  
• Offer, sell or purchase any registered or unregistered securities or post, provide, transmit or otherwise make available any information which violates any laws or regulations of the Securities and Exchange Commission, or any exchange;
  
• Post, transmit or facilitate the transmission of chain letters or pyramid schemes;
  
• Violate any software license agreement;
  
• Post, upload, email or otherwise transmit or facilitate the transmission of statements that are intentionally false, misleading, fraudulent or deceptive;
  
• Violate any applicable local, state, national, international or foreign law, statute or regulation;
  
• Post, upload, email or otherwise transmit software viruses or other malicious computer code (including, but not limited to, spyware, worms, Trojan viruses, etc.), files or programs designed to inhibit, block or jam the functionality of computer software, hardware, or telecommunications equipment;
  
• Collect or store personal data about other users;
  
• Access or alter any content or information on AGreatAffair.com not available or accessible to the public; or
  
• Alter any portion of AGreatAffair.com contents.

You agree to indemnify GTCG, AGreatAffair.com and our affiliates for any damage or liability arising from or in connection to your noncompliance with any of the above provisions. In addition, you acknowledge and agree that we shall, at any time and in our sole discretion, have the right to terminate, suspend, and prohibit access to your membership without prior notice to you of any kind for any reason including any violation of or suspected violation(s) of any of the above provisions.

PASSWORDS
As a Member, it is your responsibility to protect your password from any unauthorized or unlawful disclosure to other parties and you agree to be responsible and liable for any and all statements made by you or using your membership and password. You must notify AGreatAffair.com immediately, if you suspect or become aware of someone’s unauthorized use of your membership account or password or if you suspect any theft or loss with respect to your activities on AGreatAffair.com.

Guests may receive a password to access webpages and registries that are designated by Members to be password protected. Guests agree that they shall not forward any such password to another party.

MEMBER AND GUEST CONTENT

Each Member, Guest and any other person accessing AGreatAffair.com (including any registry or webpage of AGreatAffair.com Members) is responsible for all of the content, including all information, text, comments, notes, communications, pictures, messages, and any other material, that is directly or indirectly posted, transmitted or uploaded by such person (“Member/Guest Content”) and each such person shall indemnify and hold FTCG, AGreatAffair.com and our affiliates harmless from any damage or liability if such person breaches any laws or third party rights. Material that is copyright or trademark-protected may not be submitted, transmitted, uploaded or posted on AGreatAffair.com without the prior written permission from the copyright or trademark owner. We are unable to assess if content that is uploaded, posted or transmitted represents a copyright or trademark infringement and any person uploading, posting or transmitting any content is solely responsible for any infringement or violation of law.

We do not control the content posted by visitors to the site, including Members or their Guests and therefore do not guarantee the accuracy or integrity of the content. In addition, you acknowledge that you may encounter certain content on the web site that may be offensive or objectionable to you. You agree that neither AGreatAffair.com nor FTCG shall have any liability to you with respect to such content. Any content you submit will be routed through the Internet and you understand and acknowledge that you have no expectation of privacy with regard to any content you submit.

While we do not and cannot review all transmissions by persons visiting the site, you acknowledge and agree that we have the right to, and may, monitor any and all information transmitted or received through AGreatAffair.com. We, in our sole discretion and without further notice to you, may review, modify, remove or prohibit any third party content, including Member/Guest Content, for any reason.

Each Member is responsible for all of the content, including all information, text, comments, notes, communications, pictures, messages, and any other material, that is directly or indirectly posted, transmitted or uploaded by such person or by such person's guests to or in connection with such Member's account, event, webpage, registry, guestbook and/or RSVP and/or to AGreatAffair.com ("Member/Guest Content") and each Member shall indemnify and hold FTCG, AGreatAffair.com and our affiliates harmless from any damage or liability if such person breaches any laws or third party rights. Material that is copyright or trademark-protected may not be submitted, transmitted, uploaded or posted on AGreatAffair.com without the prior written permission from the copyright or trademark owner. We are unable to assess if content that is uploaded, posted or transmitted represents a copyright or trademark infringement and any person uploading, posting or transmitting any content is solely responsible for any infringement or violation of law and any Member will be responsible for such infringement or violation by its guests.

THIRD PARTY LINKS AND ADVERTISING
AGreatAffair.com may provide links to other Internet sites or resources. You acknowledge that we are not responsible for the availability of, and do not endorse or assume responsibility for, any content, products, policies or other materials on such sites, nor do we assume any responsibility for your reliance on or use of content, products or other materials obtained from such sites. You acknowledge that you may not advertise or post promotions on AGreatAffair.com without the express written permission from FTCG.

POLICIES REGARDING USE AND STORAGE OF MEMBER AND GUEST DATA
We may place limits on the use and storage of data on our site. For example, we may limit the length of time that Member/Guest Content can remain on the site, or set limits regarding maximum or minimum levels of activity. You agree that we will not be responsible or liable for the deletion of messages or content on the AGreatAffair.com site (including any webpages created thereunder), and agree that we reserve the right to terminate accounts that are inactive for an extended period of time without notice. We reserve the right to change our practices regarding the use and storage of data on AGreatAffair.com at any time without notice to Members, Guests or any other users.

YOU ARE LIABLE FOR YOUR OWN TAXES,FEES AND CHARITIES ON YOUR REGISTRY

If you are a Guest making a gift towards a charitable organization (501(c)(3)) on a registry, there is no guarantee that the registrant will actually donate such gifts to the charity indicated. Even if the registrant does, you as the gifter will not get any tax deduction. Any gifts made towards a charity on a registry are actually gifts made to the registrant Member for his/her use, and are not made to the charitable organization.

You acknowledge that we make no claims or promises regarding any tax obligations or consequences that may result from your activities as a Member or Guest of AGreatAffair.com and your use of the services provided by AGreatAffair.com. Furthermore, you understand that you may not be entitled to tax deduction as a result of including a charity or not-for profit organization on your registry or as a result of any Guest gifting cash towards any charity or other not-for-profit organization listed on your registry. You agree that AGreatAffair.com has no obligation to maintain records or provide you with documentation of your transactions with charitable/non-profit organizations for tax reporting purposes. We recommend that you consult with your tax advisor to understand any potential tax consequences associated with your registry and to explain the tax regulations surrounding the deductibility of charitable gifts. You acknowledge and agree that all applicable taxes, including but not limited to all local, state, federal and sales tax, arising from your use of AGreatAffair.com or in connection with your activities as a Member or Guest of AGreatAffair.com shall be paid solely by you and shall be your sole and exclusive responsibility.

WITHOUT LIMITING THE FOREGOING, THE FTCG BUSINESSES DO NOT REPRESENT OR WARRANT THAT:

(1) THE SERVICE OR INFORMATION ON THIS WEBSITE IS OR WILL BE UNINTERRUPTED, ACCURATE, ERROR-FREE, TRUTHFUL, COMPLETE, RELIABLE, USEFUL, TIMELY, SECURE OR CURRENT;

(2) MATERIALS POSTED OR OTHERWISE TRANSMITTED ON THIS WEBSITE WILL NOT INFRINGE THE RIGHTS OF THIRD PARTIES;

THIS WAIVER IS INTENDED TO APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

IF YOU ARE DISSATISFIED WITH THIS WEBSITE OR ANY CONTENT ON THE SITE, OR WITH THESE TERMS AND CONDITIONS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THIS WEBSITE. YOU ACKNOWLEDGE, BY YOUR USE OF THIS WEBSITE, THAT YOUR USE OF THIS SITE IS AT YOUR SOLE RISK.

MISCELLANEOUS
If any provision in these Terms and Conditions is invalid or unenforceable under applicable law, it will be rewritten such that it is enforced to the furthest extent possible with its terms and intent and the remaining provisions will continue in full force and effect.

These Terms and Conditions, your rights and obligations, and all actions contemplated will be governed by the laws of the State of California, USA (without regard to choice of law), as if these Terms and Conditions were a contract wholly entered into and performed in Los Angeles County, California. Any dispute, controversy or claim arising out of or relating to these Terms and Conditions will be resolved exclusively in the federal or state courts located in Los Angeles, California and you hereby consent to the jurisdiction and venue of such courts.

These Terms and Conditions constitute the entire agreement between any Member, Guest, and/or user/visitor of AGreatAffair.com on the one hand, and us, with respect to this website and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written between any Member and/or Guest, on the one hand, and us with respect to this website. A printed version of this agreement and any notice given in electronic form shall be admissible in any judicial, administrative or other proceedings relating to this agreement to the same extent as other business documents and records originally generated and maintained in printed form. Any rights not expressly granted herein are reserved by us.

ACCEPTANCE OF THESE TERMS AND CONDITIONS
